These Terms of Service ("Terms") govern your use of Knowyx at knowyx.com and any related sites, tools and apps we operate (the "Service"). The Service is operated by HONGKONG WEBETOP GROUP LIMITED, a company incorporated in Hong Kong with its registered address at RM 701, UNIT 127, 7/F, TOWER B, NEW MANDARIN PLAZA, 14 SCIENCE MUSEUM ROAD, TSIM SHA TSUI, HONG KONG ("we", "us", "our").

By creating an account, running a tool or buying a subscription or credits, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy and Refund & Cancellation Policy. If you do not agree, do not use the Service.

Nothing in these Terms limits rights you have under the mandatory consumer laws of the country where you live.

1. Who can use the Service

  • You must be at least 18 years old. By using the Service you confirm that you are.
  • If you use the Service on behalf of a business, you confirm you are authorized to bind it to these Terms.
  • You may not use the Service where doing so is prohibited by law, or if we have previously suspended or terminated your account.

2. Your account

  • You can try some tools without an account. Trying a tool without an account is limited per device and per day, and results from trial runs are kept only for a short period (see the Privacy Policy).
  • To save history, download full results, buy credits or subscribe, you need an account. You can sign in with an email verification code, with Google, or with a password you set through a reset email.
  • Keep your sign-in methods secure. You are responsible for activity under your account unless it results from our failure to keep the Service secure. Tell us promptly at support@knowyx.com if you suspect unauthorized access.
  • When you create an account, results you produced on the same device without an account may be moved into your account.

3. The Service and AI-generated output

  • Knowyx is a collection of AI-powered tools. Each tool describes what it does, what inputs it accepts and what a run costs before you run it.
  • Tools use third-party AI models. Which model processes a run can change over time, and may depend on where you are (see the Privacy Policy, "Where data is processed").
  • AI output can be wrong, incomplete or unexpected. It may resemble content generated for other users. Review output before relying on it.
  • Not professional advice. Some tools touch on health, nutrition, money, law or similar topics. Their output is general information only and is not medical, financial, legal or other professional advice. Those tools show a disclaimer before you use them.
  • Some tools may not be available in your country or region, and tools may be added, changed or retired at any time. When a tool is retired we will keep your existing history available for its normal retention period.

4. Your content

Your inputs. You keep all rights you have in the text, images, audio and other material you submit ("Inputs"). You confirm that you have the rights and permissions needed to submit them, including the consent of any person who appears in or can be identified from them. Tools that create new content from a real person's photo or voice will ask you to confirm you have that person's permission before running.

Outputs. As between you and us, you own the output a tool produces for you ("Outputs"), to the extent any rights exist in it, and you may use it for any lawful purpose, including commercially. We do not claim ownership of Outputs. Because of how AI works, we cannot promise that an Output is unique, protectable by copyright or free from third-party rights; you are responsible for how you use it.

Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display your Inputs and Outputs only as needed to provide the Service to you (for example, to run the tool, show your history, create share links you request, and keep the Service safe), for as long as we keep them under the Privacy Policy.

No training. We do not use your Inputs or Outputs to train AI models, and we only use model providers that commit not to train on data we send them.

Sharing. Results are private by default. If you create a share link, anyone with the link can view the shared result until you revoke it, delete the result, or delete your account.

5. Acceptable use

You must follow our Acceptable Use Policy. In short: do not use the Service to break the law, harm others, create sexual content involving minors, create non-consensual intimate imagery, impersonate or defraud people, infringe others' rights, or attack or overload the Service.

We check Inputs and Outputs automatically for prohibited content. We may block a run, remove content, disable share links, limit or suspend your account, and where required by law report content to the authorities. Where reasonable we will tell you why and how to appeal (see section 12).

6. Credits

  • Running a tool costs credits. The price of each run is shown before you run it. Some tools charge a variable amount; in that case we show the maximum, reserve it when the run starts and charge only what the run actually uses.
  • Failed runs are not charged. If a run fails, times out or its output is blocked by our safety checks, the reserved credits are returned. If a tool determines your input is not something it can process (for example, a photo that is not of a label), the tool may charge a lower "unusable input" price that is shown on the tool page before you run it; it is never more than the normal price and is often zero.
  • If you close the page during a run, the run continues and is charged normally; the result appears in your history.
  • Credits come from different sources with different rules:
    • Sign-up credits are a free gift when you create an account and expire [[30]] days after they are granted.
    • Subscription credits are granted at the start of each monthly allocation period (including on annual plans) and expire at the end of that period. Unused subscription credits do not roll over.
    • Credit packs are bought separately and [[do not expire / expire after N months]] while your account is open.
    • Promotional or compensation credits expire as stated when we grant them.
  • When you run a tool we use credits that expire soonest first.
  • Credits have no cash value, are not your property, cannot be transferred or sold, and cannot be exchanged for money except where the law requires. Credits are shared across all Knowyx-operated sites you sign in to with the same account.
  • We may change the credit price of a tool for future runs. A change never affects a run that has already started.

7. Subscriptions

  • Subscription plans, their price, billing period and monthly credit allowance are shown on the [[PRICING_URL]] page and at checkout.
  • Subscriptions renew automatically at the end of each billing period, at the price shown at checkout, until you cancel. You authorize us and our payment provider to charge your payment method on each renewal.
  • You can cancel at any time from your account ("Manage subscription"), which opens the payment provider's customer portal. Cancellation stops future renewals; you keep your plan and its credit allocations until the end of the current paid period.
  • If we change the price of your plan, we will tell you by email at least [[30]] days before the change takes effect for you, and you can cancel before then.
  • If a renewal payment fails, the payment provider may retry. If payment is not completed, your subscription ends and the plan's benefits stop; your existing history is unaffected.

8. Payments, taxes and refunds

  • Merchant of record. Purchases are processed through Stripe's Managed Payments service. For your purchase, the seller of record shown at checkout and on your receipt handles payment processing, applicable sales tax/VAT, receipts and invoices, and may handle payment-related support, refunds and disputes under its own terms. Prices may be shown in your local currency; the amount charged is the amount shown at checkout.
  • Refunds are covered by our Refund & Cancellation Policy. In short: purchases are generally non-refundable once delivered, except where the law gives you a right to a refund, where you were charged in error, or where the Service did not work as described.
  • EU, EEA, UK and Swiss consumers: credits and subscriptions are digital content and services that start immediately. At checkout we ask for your express consent to immediate performance and your acknowledgment that you will lose your 14-day right of withdrawal once performance begins. If you do not give that consent, you keep your statutory withdrawal rights as described in the Refund & Cancellation Policy.
  • If you dispute a charge with your bank after receiving what you paid for, we may suspend the account while the dispute is open.

9. Our intellectual property

The Service, including its software, design, tool definitions and brand, belongs to us or our licensors. These Terms give you a personal, non-transferable right to use the Service as offered. You may not copy, reverse-engineer, scrape or resell the Service, or access it by automated means except through interfaces we provide for that purpose.

10. Changes to the Service and these Terms

  • We continuously improve the Service and may change, add or remove features and tools. If a change materially reduces what you paid for in an active subscription period, we will tell you and, where required by law, offer a pro-rata refund.
  • We may update these Terms. For material changes we will notify you by email or in the Service at least [[30]] days before they take effect. If you keep using the Service after that, the updated Terms apply. If you do not agree, you can cancel and close your account before they take effect.

11. Ending your use

  • You can stop using the Service at any time and can delete your account from your account settings. Deleting your account cancels any subscription renewal; remaining credits are forfeited, except where the law requires otherwise. Before you delete, we show what you will lose.
  • We may suspend or close your account if you seriously or repeatedly break these Terms or the Acceptable Use Policy, if required by law, or to protect users or the Service. Unless the law or safety prevents it, we will tell you the reason and give you a chance to respond. If we close your account without cause, we will refund the unused part of any prepaid subscription period and unused purchased credits.
  • We may discontinue the Service as a whole with at least [[60]] days' notice, and will refund unused purchased credits and the unused part of prepaid subscription periods.

12. Complaints, appeals and contact

  • Questions, complaints and appeals against a moderation or account decision: support@knowyx.com. We aim to give a first response within 2 Hong Kong business days.
  • Copyright and other rights complaints: see "Reporting content" in the Acceptable Use Policy.
  • Privacy requests: privacy@knowyx.com (see the Privacy Policy).

13. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we do not warrant that the Service will be uninterrupted or error-free, or that any Output will be accurate or fit for a particular purpose. Nothing in this section excludes any guarantee or right that cannot be excluded under the law that applies to you.

14. Limitation of liability

To the extent permitted by law:

  • we are not liable for indirect or consequential loss, loss of profits, revenue, data or goodwill, or for losses caused by your reliance on AI Output;
  • our total liability to you for all claims arising out of or relating to the Service in any 12-month period is limited to the greater of (a) the amount you paid us in that period and (b) USD 100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law. If you are a consumer in the EU, EEA, UK or Switzerland, we are responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill.

15. Indemnity

If you use the Service for business purposes, you will compensate us for third-party claims caused by your Inputs or by your breach of these Terms or the Acceptable Use Policy. This section does not apply to consumers.

16. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction. If you are a consumer, you also benefit from the mandatory protections of the law of the country where you live, and you may bring proceedings in the courts of that country. Before starting proceedings, please contact us at support@knowyx.com so we can try to resolve the issue.

EU consumers may also use the European Commission's list of out-of-court dispute resolution bodies. We are not obliged, and do not commit, to participate in alternative dispute resolution unless the law requires it.

17. General

These Terms, together with the policies they reference, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. We may transfer these Terms to a company that takes over the Service, and will tell you if we do; you may not transfer them without our consent. If we do not enforce a right immediately, we may still enforce it later. The English version of these Terms prevails over any translation.
